GM, AGM, EGM – What’s the Difference?

Meetings

  1. The association shall in each year hold a General Meeting as its Annual General Meeting in addition to any other meeting in that year and shall specify the meeting as such in the notices calling it. The Annual General Meetings shall be held not later than the 30th November in each year for the year ending the previous September provided that where the Annual General Meeting is not held by 30th November in any year the committee is hereby authorised to continue in office the expiration of one month from the 30th November so as to permit the Annual General Meeting to be convened.
  2. If default is made in holding the Annual General Meeting of the Association in accordance with sub-paragraph 1 of this clause, all members of the Committee other than ex-officio members of the said Committee shall cease to be members of the Committee irrespective of whether or not the period of office for which they had been elected as such was due to expire at the said Annual General Meeting. The ex-officio members shall forthwith take steps to call or direct the calling of ta general meeting of the Association as an Annual General Meeting.

All general meetings other than the Annual General Meeting shall be called Extra-ordinary General Meetings.

  • The Committee may, whenever it thinks fit and shall on a requisition made in writing by and twelve (12) or more members convene an Extra-ordinary General Meeting.
  • Any requisition made by the members must state the object of the meeting proposed to be called and must be signed by the requisitionists and sent by pre-paid registered mail or delivered to the Secretary of the Association.
  • On receipt of the requisition, the Committee shall forthwith proceed to call an Extra-ordinary General Meeting; if it does not within twenty-one (21) days from the date on which the requisition was registered with any post office in Jamaica or on which the requisition was delivered to the Secretary (as the case may be) proceed to call a meeting, the requisitionists or a majority in number of the requisitionists, may themselves convene a meeting.
